Terms of Service

These Terms of Service ("Terms") govern your use of Neshira ("Service"), operated by Anderson Global Enterprises LLC ("Company," "we," "us," or "our"), a New York limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Neshira is self-serve production software that turns voice recordings into structured business assets — course kits, SOPs, scripts, workbooks, and slide decks — using AI transcription and generation. It is intended for professional use by coaches, consultants, educators, course creators, and agencies. It is not a done-for-you agency service.

You must create an account to use the Service. Authentication is handled by Clerk. You agree to provide accurate information, keep credentials secure, and accept responsibility for activity under your account. You must be at least 18 years old.

6. Marketplace (Studio)

Studio subscribers may publish kit templates to the marketplace. Publishing grants us a non-exclusive license to display and distribute those listings. A platform fee (currently 15%) applies to paid sales via Stripe Connect. We may remove listings that violate these Terms.

7. API Access (Pro and Studio)

API keys are scoped and rate-limited. Do not share keys publicly. You are responsible for activity under your keys.

8. Third-Party Services

The Service uses: Clerk (auth), Stripe (billing), Supabase (audio/file storage), OpenAI (Whisper transcription and some generation), Anthropic (kit and deck AI), Gamma (optional decks), PDFShift (PDFs), and SendGrid (email). Your use of those services is also subject to their terms. We are not responsible for their independent acts or outages.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDERSON GLOBAL ENTERPRISES LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

11. Indemnification

You will indemnify and hold us harmless from claims arising from your use of the Service, your content, or your violation of these Terms or third-party rights.

12. Termination and Data Deletion

We may suspend or terminate accounts that violate these Terms. You may request account deletion by contacting support; we process deletion requests (cascade of your jobs, assets, and related data) within 30 days, subject to legal retention (e.g. billing records). Sections 5, 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Courts in New York County, New York have exclusive jurisdiction, except where applicable law requires otherwise.

14. Changes

We may update these Terms. Material changes will be noted by updating the version date on this page and, when practical, by email or in-app notice. Continued use after the effective date constitutes acceptance.

Content is sent to OpenAI and/or Anthropic APIs to produce transcripts and assets. Under our API agreements and those providers' default API policies, your content is not used to train their public models. Do not upload highly sensitive medical, financial, or legal recordings without understanding those providers' terms.

We use HTTPS in transit, account isolation, and reasonable safeguards consistent with the New York SHIELD Act. We do not claim SOC 2 or other certifications we have not obtained.

The Service is not for anyone under 18.

9. Cookies

Session cookies are used for authentication (Clerk). We do not run third-party ad trackers on the signed-in Studio.
